Welcome to Benefitty ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the Benefitty mobile application and website (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of those modifications.

To use the Benefitty Service, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Be a resident or tenant of a building or residential property that has partnered with Benefitty

By registering for an account, you represent and warrant that you meet all eligibility requirements.

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with these security obligations.

4.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

4.2 Restrictions

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Reproduce, distribute, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble any component of the Service
• Use automated systems (bots, scrapers) to access the Service
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Share, sell, or transfer your account or discount codes to third parties
• Use the Service to commit fraud or abuse the discount offerings

5.1 Availability

Benefitty provides access to exclusive discounts and offers from partner retailers. These offers are subject to availability and may be modified, suspended, or terminated at any time without prior notice. We do not guarantee the continuous availability of any particular offer.

5.2 Third-Party Terms

Discounts and offers are provided by third-party retailers and are subject to their respective terms and conditions. You are responsible for reviewing and complying with any third-party terms. Benefitty is not responsible for the quality, safety, or legality of products or services offered by third parties.

5.3 No Resale

Discounts and promotional codes are for personal use only and may not be resold, transferred, or used for commercial purposes. Any violation may result in immediate termination of your account.

5.4 Limitations

Offers may be subject to limitations including geographic restrictions, quantity limits, expiration dates, and other conditions specified by the partner retailer. We reserve the right to limit the number of offers you can redeem.

Currently, the Benefitty Service is provided at no cost to eligible users. If we introduce paid features in the future, we will provide notice and additional terms governing such features. Purchases made directly with partner retailers are subject to the retailer's refund and return policies, not ours.

7.1 Ownership

The Service and all content, features, and functionality, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are owned by Benefitty or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Trademarks

"Benefitty" and associated logos are trademarks of Benefitty. You may not use our trademarks without our prior written permission. All other trademarks appearing on the Service are the property of their respective owners.

If you submit feedback, suggestions, reviews, or other content to us ("User Content"), you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in any media. You represent and warrant that you own or have the necessary rights to submit the User Content and that such content does not violate any third-party rights.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and disclose your personal information. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. We make no warranties about the accuracy, reliability, completeness, or timeliness of the Service or any content.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BENEFITTY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us, if any, during the twelve (12) months prior to the claim, or £100, whichever is greater.

You agree to indemnify, defend, and hold harmless Benefitty, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your violation of any rights of a third party
• Your User Content

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by visiting our Account Deletion page or by contacting us directly. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through good faith negotiations. If the parties cannot resolve the dispute within thirty (30) days, the dispute shall be resolved by binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA).

14.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in London, England, for any disputes not subject to arbitration.

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Benefitty regarding the Service and supersede all prior agreements and understandings.

15.2 Waiver and Severability

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

15.4 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15.5 Notices

Any notices or other communications provided by us under these Terms will be given by posting to the Service or via email to the address associated with your account.
